Client: Leading Primary and Secondary International Education Service Provider in Myanmar

Investor: A Singapore Sovereign Wealth Fund

Background: The client is looking for an institutional investor to become a long-term partner. This investor should help the business grow, but also respect and protect the brand’s legacy. The goal is to find someone who can offer both financial support and strategic advice.

Services provided: fund raising (corporate finance), strategy and vendor assistance services

Key responsibilities: Served as a core team member supporting the client and collaborating across multiple workstreams of the appointed advisor including corporate finance, strategy, and vendor assistance. The project, spanning approximately two years, involved close coordination with the client as well as with the potential investors.

Key challenges: was collecting, synthesizing and analysing extensive data from over 30 schools located throughout Myanmar. Worked alongside with the strategy team to evaluate existing school locations and assess opportunities for new school openings in the upcoming year. Played a pivotal role in the vendor assistance team, organizing and preparing comprehensive, investor-ready data packs and drafting the information memorandum.

Key Highlights: During the due diligence phase, provided critical support for financial, commercial, and HR due diligence processes, ensuring the client was well-prepared for investor review and facilitating a smooth transaction process. This role required strong analytical skills, meticulous attention to detail, and effective cross-functional collaboration to deliver high-quality outcomes for both the client and investor.

Client: Leading commercial and residential international land developer

Purpose: For internal decision making purpose

Background: Client is an international property developer and they have an existing land development contracts with Malaysia government. The project is still in progress and they want to understand the value of that particular land developments for management decision making purposes.

Services provided: Scenario analysis and valuation services

Summary: As the project is still in progress and not yet finalised, the key challenge lies in evaluating the most reasonable value for the project, especially since different contracts could move forward under a variety of scenarios. It was crucial to consider the likelihood of each contract being renewed, renegotiated, or successfully completed. To tackle this, we combined both quantitative data and qualitative insights, carefully analyzing each possible outcome. This approach allowed us to identify the most likely scenario and deliver a logical valuation conclusion.

Client: Leading Fund Manager with c.AU$ 5 billion asset under management across Australia and the UK

Background: Asset Manager who has several boutiques and fund managers with different investment strategies and sectors across Australia and the UK

Services Provided: Valuation services for financial reporting services

Summary: The fund manager required us to provide valuation services for financial reporting purpose. Performed a detailed Sum-of-the-Parts (SOTP) analysis—carefully valuing each boutique and fund manager operating under the main fund umbrella.

Beyond the granular asset-level valuations, conducted dynamic analyses of the parent fund manager’s fee structures, delving into the intricacies of management and performance fees. This included modeling the complex waterfall calculations to accurately reflect how fees are allocated and distributed.

Key Highlights: The project demanded a deep understanding of both the operational nuances of each underlying entity and the sophisticated mechanisms driving the fund’s overall profitability, ensuring our valuations were robust, transparent, and tailored to the client’s reporting needs.

Investee: Leading rice trading business in Myanmar

Background: International Conglomerate wishes to invest in Myanmar agriculture industry, particularly in rice trading business and they were looking for a local partner.

Services provided: Buy side due diligence and valuation services

Summary: Collaborating closely with diverse teams from a major international conglomerate and their Investment Committee - played a key role in evaluating a potential investment opportunity in Myanmar. This involved coordinating with the buy-side due diligence process and incorporating adjusted earnings to assess the investee company’s value across multiple scenarios—including stand-alone operations, joint ventures, and strategic partnerships.

Key Highlights: The project was fast-paced and dynamic, demanding extensive coordination and in-depth discussions with both the client and the investee company. Navigating cultural nuances and complex deal structures to drive the project forward in a high-pressure, cross-border environment.
